1. Scope & Provider

These Terms of Service ("Terms") govern your use of QuoteForge, a SaaS platform for AI-powered proposal creation. By creating an account or using our services, you agree to these Terms.

2. Services

QuoteForge provides:

  • AI-powered proposal generation from project descriptions
  • Professional proposal templates with customization
  • Proposal sending, tracking, and analytics
  • Digital signature collection
  • Client relationship management tools

3. Account & Registration

  • You must be at least 18 years old to create an account.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.

4. Pricing & Payments

QuoteForge offers Free, Pro ($29/month), and Team ($79/month) plans. Pricing is in EUR and includes applicable taxes for Austrian customers.

  • Payments are processed securely via Stripe.
  • Subscriptions renew automatically. You may cancel at any time.
  • Pro-rated refunds for unused time upon cancellation (per FAGG § 18).
  • We reserve the right to change pricing with 30 days notice.

5. Right of Withdrawal (FAGG § 11)

As a consumer in the EU, you have the right to withdraw from a distance contract within 14 days of purchase without giving any reason. To exercise this right, contact us at contact@quoteforge.app with a clear statement of your decision.

If you have used the service during the withdrawal period, you agree to pay for the service used up to the point of withdrawal on a pro-rata basis.

6. Intellectual Property

  • Your content: You retain all rights to your proposals, client data, and uploaded materials.
  • Our platform: QuoteForge, its design, code, and AI models are our intellectual property.
  • AI-generated content: Proposals generated by AI are your property once created. We do not claim rights to AI-generated output.

7. Acceptable Use

You agree not to:

  • Use the service for illegal, fraudulent, or deceptive purposes
  • Generate proposals containing harmful, discriminatory, or misleading content
  • Attempt to reverse engineer, decompile, or extract our AI models
  • Share your account credentials or allow unauthorized access
  • Upload malware, viruses, or otherwise disrupt the service
  • Exceed reasonable use limits or use automated scraping tools

8. Data Protection

We process your personal data in accordance with our Privacy Policy and the EU General Data Protection Regulation (GDPR). We act as a data processor for proposal content and client data you process through our platform.

9. Availability & SLA

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party services, force majeure, or circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by Austrian law (ABGB, KSchG):

  • We are liable for damages caused by intentional misconduct or gross negligence.
  • For slight negligence, liability is limited to direct, foreseeable damages up to the amount paid for the service in the preceding 12 months.
  • We are not liable for lost profits, indirect damages, or consequences of AI-generated content.
  • Consumer protection rights under KSchG remain unaffected.

11. Termination

You may delete your account at any time from Settings. Upon termination, we will delete your data within 30 days (see Privacy Policy). We may terminate or suspend your account for material breach of these Terms with 14 days notice.

12. Governing Law & Jurisdiction

These Terms are governed by Austrian law. For consumer disputes, the courts at your place of residence in the EU apply (per Brussels I Regulation). For business customers, exclusive jurisdiction lies with the courts of Vienna, Austria.

14. Changes to Terms

We may update these Terms with 30 days notice via email. Continued use after the notice period constitutes acceptance. If you disagree, you may terminate your account before the changes take effect.
